TERMS & CONDITIONS For Meta Official Bulk WhatsApp App Vendors Effective Date: 06 June 2025 Issued By: WAPIXO.COM 1. Introduction These Terms & Conditions govern the relationship between WAPIXO TECHNOLOGIES (“WAPIXO”, “we”, “us”, or “our”) and the Vendor (“you”, “your”) who has registered to offer Meta-approved bulk WhatsApp services via WAPIXO’s official platform (www.wapixo.com). By registering as a vendor, you agree to comply with and be legally bound by these Terms & Conditions, including any future updates. 2. Eligibility To qualify as a vendor on WAPIXO: You must be an official reseller, integrator, or service provider of Meta (WhatsApp Business Platform) via authorized Business Service Providers (BSPs). You must provide valid KYC, registration documents, and Meta approval/license details when requested. 3. Scope of Services Vendors may: Offer Bulk WhatsApp messaging, chatbot, CRM integrations, and automation services. Provide onboarding and technical support to WAPIXO clients. Use the WAPIXO vendor dashboard for performance tracking and service delivery. You must not: Send unsolicited messages (spam) or violate Meta’s Business & Commerce Policy. Misrepresent your services or affiliation with Meta or WAPIXO. Use unauthorized or illegal templates. 4. Data Privacy & Confidentiality Vendors must comply with applicable data protection laws (including GDPR and Indian IT Act, 2000). Client data shared through WAPIXO must be handled with strict confidentiality and not sold, transferred, or misused. You agree not to store user data without proper consent or purpose. 5. Payment Terms Vendor earnings will be based on a pre-agreed revenue-sharing model or service-based pricing as outlined during onboarding. Invoices must be issued monthly/yearly with applicable tax details. Payments are subject to quality assurance, client feedback, and WAPIXO's approval. Any disputes must be raised within 7 working days of invoice receipt. 6. Brand Usage & IP Vendors are allowed to use WAPIXO's name only for communication with WAPIXO clients. Any misuse or unauthorized branding will result in termination. All content, designs, and software provided by WAPIXO remain its intellectual property. 7. Compliance with Meta Policies You agree to strictly follow: WhatsApp Business Policy Commerce Policy WhatsApp API Guidelines Any breach of Meta’s terms will result in immediate suspension from the WAPIXO vendor network. 8. Termination WAPIXO may suspend or terminate your vendor account with or without notice if: You breach any part of this agreement Your services receive repeated client complaints Meta discontinues or restricts your access as an official provider Upon termination: You must immediately cease use of WAPIXO branding and tools. All pending dues must be settled within 15 business days. 9. Indemnification You agree to indemnify, defend, and hold harmless WAPIXO and its partners from any claims, losses, or liabilities arising out of your services, client dealings, or policy violations. 10. Governing Law & Jurisdiction These Terms & Conditions shall be governed by the laws of India. Any disputes arising will fall under the jurisdiction of the High Court of Allahabad, Uttar Pradesh. 11. Amendments WAPIXO reserves the right to update these Terms at any time. Vendors will be notified via email or platform notification. Continued service delivery after any changes implies acceptance of the revised terms. 12.
